These Terms of Use (“Terms”) explain your rights and obligations in accessing, visiting and/or using Joan of Arc (“Joan of Arc,” “JOA,” “us,” or “our”) (available at www.joanofarcmusic.com) (the “Service”), brought to you by Joan of Arc Holdings LLC.
These Terms do not apply to websites, apps, or other offerings that we do not own or control, even if they are linked to from the Service. By accessing, visiting or using the Service, you consent and agree to be bound by these Terms of Use. If you do not agree with these Terms, you should not access, visit and/or use the Service.
In addition to reviewing these Terms, please also review our Privacy Policy and any other terms and conditions that may be posted elsewhere in the Service or otherwise communicated to you, because the Privacy Policy and all such terms and conditions are also part of these Terms of Use.
These Terms of Use may be modified from time to time, so please check back often. So that you are aware changes have been made, we will adjust the “Last Updated” date at the beginning of this document. If we make a material change to these Terms, we will also post on the Service a prominent notice that a change was made. Continued access, visitation and/or use of the Service by you will constitute your acceptance of any changes or revisions to the Terms.

Age Restrictions. The Service is intended for users who are at least eighteen (18) years of age. Joan of Arc does not knowingly collect personal information from anyone under the age of eighteen (18).
Music and Audio Content. The Service may link to or make available music, audio recordings, musical compositions, sound recordings, and related content (“Music Content”) for preview. All Music Content is owned by or licensed to Joan of Arc or our artists, labels, and content partners. Unless otherwise indicated, you may not download, copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any Music Content for any purpose without our prior written consent or the consent of the applicable rights holders.
Any streaming or preview functionality provided through the Service is for your personal, non-commercial use only. You may not use any Music Content for synchronization with visual media, sampling, remixing, or any other derivative use without obtaining separate written permission from Joan of Arc and/or the applicable rights holders.
Demo Submissions. If the Service provides functionality to submit musical demos, recordings, or other creative works for consideration by Joan of Arc (“Demo Submissions”), you acknowledge and agree that: (a) Joan of Arc has no obligation to review, consider, or respond to any Demo Submission; (b) Joan of Arc may already be developing or may develop in the future works that are similar to your Demo Submission; (c) any Demo Submission will be treated as non-confidential and non-proprietary; and (d) Joan of Arc shall have no liability to you for any use or disclosure of your Demo Submission.
By submitting a Demo Submission, you represent and warrant that you are the sole creator and owner of the Demo Submission or have obtained all necessary rights, licenses, and permissions from any co-creators, collaborators, producers, or other rights holders to submit the Demo Submission to Joan of Arc.
Artist and Talent Information. The Service may display information about artists, musicians, producers, and other talent managed, represented, or promoted by Joan of Arc (“Artist Information”). Artist Information is provided for informational purposes only and may include biographies, discographies, tour dates, and promotional materials. While we strive to keep Artist Information accurate and up-to-date, we do not guarantee the accuracy, completeness, or timeliness of any Artist Information. Tour dates, appearances, and availability are subject to change without notice.
Booking and Talent Inquiries. The Service may provide contact information or forms for submitting booking requests, talent inquiries, or other business proposals (“Booking Inquiries”). Submission of a Booking Inquiry does not create any contractual relationship between you and Joan of Arc or any artist, and does not guarantee a response or availability. Any booking or engagement of Joan of Arc artists or services is subject to separate written agreements negotiated and executed by authorized representatives of Joan of Arc.
Event and Ticket Information. The Service may display information about concerts, events, or other live performances (“Event Information”). Event Information is provided for informational purposes only. Joan of Arc is not responsible for the accuracy of Event Information provided by third-party venues, promoters, or ticketing services. If you purchase tickets through links on the Service, your purchase is subject to the terms and conditions of the applicable third-party ticketing provider. Joan of Arc is not responsible for ticket availability, pricing, refunds, or any issues arising from your ticket purchase.
No Agency or Representation Relationship. Your use of the Service, submission of any inquiry, or communication with Joan of Arc does not create any agency, management, representation, partnership, joint venture, employment, or fiduciary relationship between you and Joan of Arc or between you and any artist, talent, or other individual or entity featured on or represented by Joan of Arc. Nothing on the Service constitutes an offer or commitment by Joan of Arc or any artist to enter into any business relationship, and no representation or management relationship shall exist unless and until a formal written agreement has been executed by all parties. Joan of Arc makes no representations or warranties regarding the availability, interest, or willingness of any artist to participate in any project, event, or opportunity.
For purposes of these Terms, the term “Content” includes, without limitation, Music Content, any information, data, text, photographs and other images, videos, audio clips, written posts, articles, comments, software, scripts, graphics, and interactive features generated, provided, or otherwise made accessible on or through the Service.
Intellectual Property Rights. The Service may contain Content specifically provided by us or our partners, and such Content is protected by copyrights, trademarks, service marks, patents, trade secrets, or other proprietary rights and laws. You shall abide by all copyright or other legal notices, information, and restrictions contained in any Content accessed through the Service (“Protected Content”). The trademarks, logos, trade names, trade dress, and service marks, whether registered or unregistered (collectively the “Trademarks”) displayed on the Service are Trademarks of Joan of Arc and our third party partners. Nothing contained on the Service shall be construed as granting by implication or otherwise, any license or right to use any Protected Content or Trademarks displayed on the Service without the written permission of Joan of Arc or such third party that may own the Protected Content or Trademarks.
Any unauthorized commercial use of the Content or Trademarks will violate the intellectual property rights of Joan of Arc and/or third parties associated with Joan of Arc and will be subject to Joan of Arc’s and/or those third party’s full legal rights and remedies.
Use License. Subject to these Terms, we grant each user of the Service a worldwide, non-exclusive, revocable, non-sublicensable and non-transferable license to view, print, download, and display locally Content, to the extent we hold such rights, solely for the user’s personal use of the Service. Use, reproduction, modification, distribution or storage of any Content for any other purpose is expressly prohibited without prior written permission from us. You shall not sell, license, rent, or otherwise use or exploit any Content for commercial use or in any way that violates any third party right.
Unsolicited Ideas and Materials. We do not seek any unsolicited ideas, materials, feedback, comments, or suggestions, including without limitation ideas, concepts, inventions, or designs for music, websites, apps, books, scripts, pitches, outlines, treatments, screenplays, motion pictures, television shows, theatrical productions, recordings, articles, software or otherwise (collectively, “Unsolicited Ideas and Materials”). Our receipt of your Unsolicited Ideas and Materials is not an admission by Joan of Arc of their novelty, priority, or originality, and it does not impair our right to contest existing or future intellectual property rights relating to your Unsolicited Ideas and Materials. If you choose to disregard this policy and submit Unsolicited Ideas and Materials regardless, you acknowledge that you shall not be entitled to any compensation, credit or notice whatsoever and that by sending Unsolicited Ideas and Materials you waive the right to make any claim against Joan of Arc, its parent or affiliated entities, relating to unsolicited submissions, including, without limitation, unfair competition, breach of implied contract or breach of confidentiality.
The Service may show or direct you to listings, descriptions, and images of content, products or services offered by independent third parties. We try to keep this content error-free, but Joan of Arc does not warrant that such content is accurate, complete, reliable, current, error-free, or complies with applicable laws.
The Service may allow you to access or interact with apps, websites, materials, content, products or services made available by others (“Third-Party Services”). By connecting to Third-Party Services, you agree that we may exchange information and data with the Third-Party Services consistent with our Privacy Policy. We do not control, endorse, and are not responsible for, any Third-Party Services, including their accuracy, integrity, quality, legality, usefulness or safety. Joan of Arc has no obligation to monitor Third-Party Services, and may block or disable access to them at any time. You should contact the operator of the Third Party Service with any questions about their Third-Party Services.
YOU UNDERSTAND AND AGREE THAT YOUR USE OF THIRD-PARTY SERVICES IS AT YOUR OWN RISK AND SUBJECT TO ANY TERMS, CONDITIONS AND POLICIES APPLICABLE TO SUCH THIRD-PARTY SERVICES.
The communications between you and us usually use electronic means, whether you access, visit or use the Service, send us messages, or whether we post notices on the Service or communicate with you via messaging. You (a) consent to receive communications from us in electronic form; and (b) agree that all notices, documents, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications would satisfy if they were in writing. Your consent to receive communications and do business electronically, and your agreement to do so applies to all of your interactions and transactions with us.
You understand and agree that using the Service or accessing Content available on or through the Service may include receiving certain communications from us, such as transactional or relationship messages, and that you may not be able to opt-out of receiving those messages.
Subject to your compliance with these Terms, and unless we provide express written consent to use the Service for other purposes, we grant you permission to use the Service solely for your personal, family, and household use. Joan of Arc retains all right, title, and interest in and to the Service, including all Content and other material contained in or made available through the Service. You may not use any portion of the Service, except as expressly authorized in these Terms.
You may not use the Service or its Content in any manner that could harm any person, property, Joan of Arc, its service providers or partners.

TO THE MAXIMUM EXTENT PERMITTED UNDER LAW, WE DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES WITH RESPECT TO THE SERVICE AND ANY CONTENT, INFORMATION, GOODS, OR SERVICES THAT ARE AVAILABLE THROUGH IT, INCLUDING WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE (EVEN IF THAT PURPOSE HAS BEEN DISCLOSED).
ALTHOUGH WE INTEND TO TAKE REASONABLE STEPS TO PREVENT THE INTRODUCTION OF VIRUSES, WORMS, “TROJAN HORSES,” OR OTHER MALICIOUS CODE TO THE SERVICE, WE DO NOT GUARANTEE OR WARRANT THAT THE SERVICE, OR FEATURES OR CONTENT THAT MAY BE AVAILABLE THROUGH THE SERVICE, ARE FREE FROM SUCH DESTRUCTIVE FEATURES. WE ARE NOT LIABLE FOR ANY DAMAGES OR HARM ATTRIBUTABLE TO SUCH FEATURES.
JOAN OF ARC AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, PARTNERS, LICENSORS AND AFFILIATES ARE NOT LIABLE FOR ANY CLAIM OF ANY NATURE WHATSOEVER BASED ON LOSS OR INJURY BECAUSE OF ERRORS, OMISSIONS, INTERRUPTIONS, OR INACCURACIES IN THE SERVICE OR ANY FEATURES OR CONTENT AVAILABLE THROUGH IT, INCLUDING LOSS OR INJURY THAT RESULTS FROM YOUR BREACH OF ANY PROVISION OF THESE TERMS.
UNDER NO CIRCUMSTANCES WILL JOAN OF ARC OR ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, PARTNERS, LICENSORS OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST REVENUES OR PROFITS, LOSS OF BUSINESS, OR LOSS OF DATA) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE OR ANY CONTENT AVAILABLE THROUGH THE SERVICE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY, WHETHER TORT (INCLUDING NEGLIGENCE), CONTRACT, OR ANY OTHER LEGAL OR EQUITABLE THEORY. OUR AGGREGATE LIABILITY TO YOU FOR ANY USE OF, OR INABILITY TO USE, THE SERVICE OR ITS FEATURES OR CONTENT IS LIMITED TO $100.
SOME STATES DO NOT ALLOW THE LIMITATION OF LIABILITY FOR THESE KINDS OF DAMAGES, SO THESE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.
You agree to indemnify, hold harmless, and defend (only if requested) Joan of Arc and its directors, officers, employees, agents, representatives, partners, licensors, and affiliates against all liabilities, losses, damages, and costs (including reasonable attorneys’ fees) that the indemnified parties may incur based on claims arising out of your use of the Service or violation of these Terms. We reserve the right to assume the exclusive defense and control of any matter for which we are entitled to indemnification. You agree to provide us with cooperation we may reasonably request.
We reserve the right to modify or terminate the Service, these Terms, and any services offered through the Service at any time without notice, for any reason. The “Disclaimers,” “Limitation of Liability,” “Indemnification,” and “General” sections of these Terms (along with any other provision that by its terms contemplates survival) survive any termination of these Terms.
Depending on the Content or features included on the Service, additional terms may apply (“Additional Terms”). Additional Terms may also apply for promotions, sweepstakes, contests, giveaways, or similar programs. If these Terms are inconsistent with any Additional Terms, the Additional Terms will control.
These Terms (which include the Privacy Policy) are the complete agreement between you and Joan of Arc regarding your use of the Service, including its Content, and are governed by applicable federal laws and the laws of Delaware applicable to agreements made and completely performed there.
You irrevocably agree to bring any claim or dispute relating to your use of the Service and these Terms exclusively in the state and federal courts located in the State of Delaware, to submit to the exclusive jurisdiction of those courts, and to waive any jurisdictional, venue, inconvenient forum, or other objections to those courts.
Section titles and headings are for convenience only and have no legal or contractual effect. The failure of Joan of Arc to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision.
If a court of competent jurisdiction determines that any provision of these Terms is unenforceable for any reason, then that provision will be deleted and the remaining provisions will be enforceable to the fullest extent permitted by law.
We may change these Terms from time to time by posting an updated version on this webpage, or, if we determine that it is appropriate, we may provide other notice to you. Due to our commitment to transparency and accountability, we will keep archived (previous) versions of these Terms available on the Service, so that users can review what has changed.

Cindy Mabe is one of Music Row’s most respected music executives and distinguished marketers. A trailblazer throughout her career, she became Nashville’s highest ranking woman label executive when she was appointed UMGN President in 2014. She made history again in 2023 by becoming the first woman to serve as Chair & CEO of a Nashville-based major label group. During her tenure at UMG Nashville, the label group which included Capitol Records Nashville, EMI Records Nashville, MCA Nashville, and Mercury Nashville, Mabe helped guide and grow the careers of some of country music’s biggest stars including Luke Bryan, Eric Church, Jordan Davis, Mickey Guyton, Sam Hunt, Alan Jackson, Parker McCollum, Reba McEntire, Kacey Musgraves, Jon Pardi, Chris Stapleton, George Strait, Carrie Underwood, Keith Urban, Brothers Osborne, and Little Big Town, among countless others.
Also, during her tenure at UMGN, Mabe launched a new comedy-centered imprint in 2023, Capitol Comedy Nashville, with Grammy-recognized flagship comedian Nate Bargatze. That same year, Mabe unveiled Silver Wings Records, a distribution and independent artist services arm of the label group, and Sing Me Back Home Productions, a TV and Film production company. Sing Me Back Home executive produced the NBC special Toby Keith American Icon which was the highest rated live special on NBC for 2024.
Mabe joined UMGN in 2012 as Senior Vice President, Marketing responsible for leading marketing across Capitol Records Nashville, EMI Records Nashville, MCA Nashville, and Mercury Nashville and UMG Nashville’s expanded suite of country labels following its acquisition of EMI. Prior to that, Mabe spent five years at Capitol Records Nashville, where she held the position of SVP, Marketing and played an integral role in the long-term creative and commercial success of the label that saw it named Billboard magazine’s “Country Label of the Year” consecutively for seven years from 2005 – 2012.
A North Carolina native, Mabe attended the University of North Carolina at Chapel Hill and graduated from Belmont University in Nashville with a B.S. in Business Administration. She began her music career as promotions coordinator at RCA Nashville, before shifting to sales and then artist marketing and development, during which time she worked with artists including Clint Black, Martina McBride, and Alabama. She later served as Senior Director, Marketing and Artist Development at Arista Records Nashville from 1999-2007 working with the likes of Alan Jackson, Brad Paisley, Carrie Underwood, Brooks & Dunn, and Diamond Rio before joining Capitol Records Nashville in 2007.
Mabe’s dedication and tremendous work for her artists and her countless contributions to the music community have earned the industry leader multiple awards and honors including the Country Music Hall of Fame’s Louise Scruggs Memorial Forum Award, the SOURCE Hall of Fame Award, and recognition by Save The Music Foundation. Mabe was named as one of Billboard’s Women in Music 2015-2024 and landed on Billboard’s Country Power Players list every year since its inception in 2015 including earning 2019’s Billboard Country Power Players Executive of the Year. Mabe also serves on the Country Music Hall of Fame board. Mabe is also the recent recipient of “The First Responders Children’s Foundation Corporate Hero Award.” Her ongoing commitment to philanthropic leadership led to the creation of the Joan of Arc Music Preservation Foundation, dedicated to protecting the timeless legacy of Country music while championing its continued evolution. Defining JOA’s ethos from day one, every project across its ecosystem supports the Foundation through charitable initiatives that benefit the Country music community.
